Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Whataidea LTD ("Company", "we", "us", or "our"), concerning your access to and use of the http://www.whataidea.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”). You agree that by accessing the Site, you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Site and you must discontinue use immediately.

2. Site Services

The Site provides the following services to you:

• SWOTAI: Analyzes and summarizes company reports, identifying SWOT (Strengths, Weaknesses, Opportunities, and Threats) from any provided PDF document.
• CYBERAI: Analyzes relevant cyber strategies and informs the user of pertinent gaps missing from the input PDF.

3. Intellectual Property Rights

The Site and its original content, features and functionality are owned by the Company and are protected by international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. You may not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site.

4. User Representations

By using the Site, you represent and warrant that:

• All registration information you submit will be true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update such registration information as necessary
• You have the legal capacity to agree to these Terms.
• You are not a minor in the jurisdiction in which you reside.
• You will not access the Site through automated or non-human means
• You will not use the Site for any illegal or unauthorized purpose.
• Your use of the Site will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site (or any portion thereof).

5. User Registration

You may be required to register with the Site in order to access certain services. You agree to keep your password confidential and will be responsible for all use of your account and password.

6. Purchases and Payment

If you wish to purchase any product or service made available through the Site, you may be asked to supply certain information relevant to your purchase including, without limitation, your name, phone number, email address, physical address, credit card information, and geographic location. Any charges for purchases will be exclusive of any applicable taxes, levies, or duties, which shall be your sole responsibility. All payments shall be in British Pound Sterling (GBP). You represent and warrant that: (i) you have the legal right to use any credit or debit card(s) utilized in connection with any purchase; and (ii) the information you supply to us is true, correct and complete. We may employ the use of third party services for the purpose of facilitating payment and the completion of purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.

7. Cancellation Policy

All sales are final and no refunds will be provided. However, if you do not receive your expected output after purchasing credits and processing a document, please reach out to our support team via our support form or by emailing us directly at contact@whataidea.com. Please provide your account information, approximate time of processing, input PDF document details, and any other relevant information so we can investigate the issue. We are not currently on a subscription model and operate on a pay-as-you-go basis, where 1 credit equals 1 PDF output. Purchased credits do not expire. If you are unable to process your document or do not receive the expected output, our support team will work with you to resolve any issues, which may include applying additional credits to your account if deemed necessary.

8. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

• Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information.
• Circumvent, disable, or otherwise interfere with security-related features of the Site.
• Disparage, tarnish, or otherwise harm us or the Site
• Use the Site in any manner that could disable, overburden, damage, or impair the Site.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
• Gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site.
• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.
• Otherwise attempt to interfere with the proper working of the Site.

9. User Contributions

The Site may contain interactive features that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, "post") content or materials on or through the Site (collectively, "User Contributions"). All User Contributions must comply with the Content Standards set out in these Terms. Any User Contribution you post to the site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your User Contributions. However, by submitting User Contributions to Whataidea LTD, you hereby grant us a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Contributions.

10. Content Standards

These content standards apply to any and all User Contributions and use of the Services. User Contributions must in their entirety comply with all applicable federal, state, local and international laws and regulations. Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age.
• Infringe any patent, trademark, trade secret, copyright or other intellectual property or other rights of any other person.
• Violate the legal rights of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy.
• Be likely to deceive any person.
• Promote any illegal activity, or advocate, promote or assist any unlawful act.
• Cause annoyance, inconvenience or needless anxiety or be likely to upset, embarrass, alarm or annoy any other person.
• Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising.
• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.

11. Reliance on Information Posted

The information presented on or through the Site is made available solely for general information purposes. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk.

12. Third Party Websites

The Site may contain links to third party websites and services. These links are provided solely as a convenience to you and not as an endorsement by us of the contents on such third-party websites and services. We are not responsible for the content of linked third-party sites and services and make no representations regarding the content or accuracy of materials on such third party websites and services. If you decide to access linked third-party websites and services, you do so at your own risk.

13. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will immediately cease.

14. Limitation of Liability

Except as expressly provided in the Terms and to the maximum extent permitted by applicable law, we hereby exclude and disclaim all representations, warranties and conditions, whether express, implied or statutory, including (without limitation) any (if any) implied warranties, duties or terms as to satisfactory quality, fitness for a particular purpose, non-infringement, or the use of reasonable care and skill. To the maximum extent permitted by applicable law, in no event shall we be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the site, with the delay or inability to use the site or related services, the provision of or failure to provide services, or for any information, products, services and material obtained through the site, or otherwise arising out of the use of the site, whether based on contract, tort, negligence, strict liability or otherwise.

15. Indemnification

You agree to defend, indemnify and hold harmless Whataidea LTD and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of your use and access of the Site, violation of these Terms, or violation of any rights of another

16. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
